Terms of Service

These Terms of Service ("Terms") govern your use of marvenio.com and any related pages we operate (the "Site"). Marvenio, Inc., a Delaware corporation ("Marvenio," "we," "us," or "our"), operates the Site. "You" means the person using the Site and, if you use it for a business, that business. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What these Terms cover

These Terms cover your use of the public Site only. They do not cover the Marvenio platform or our professional services, which are governed by separate agreements as described in section 2. Our Privacy Policy explains how we handle personal information collected through the Site.

2. Our services are governed by separate agreements

Marvenio platform subscriptions and professional services, such as marketing, engineering, and sales programs, are provided only under a separate written agreement with Marvenio. That agreement may be an order form, a master services agreement, a statement of work, or a similar document. If anything in these Terms conflicts with such an agreement, the agreement controls for the services it covers.

3. The Site is for general information

The Site describes Marvenio, our platform, and our services in general terms.

Nothing on the Site is an offer, a quote, or a commitment to provide any product or service on particular terms. We do not publish pricing on the Site. Pricing and scope are set only in a written proposal or agreement.
Features and services described on the Site may be in development, may vary by plan or engagement, and may change. What a client receives is set out in that client's agreement.
The product demos and screens on the Site use sample data. The names, businesses, messages, and figures in them are made up for illustration. They are not real customer data.
Examples and descriptions of results are for illustration only. We do not guarantee any particular outcome, such as search rankings, lead volume, or revenue.
Content on the Site is general information, not legal, compliance, financial, or other professional advice. This includes content about marketing, consent, and messaging rules. Please talk with your own advisors about your situation.

4. Fit Assessments, demos, and contact requests

Requesting a Fit Assessment, demo, or call through the Site does not create a client relationship. It does not obligate you or Marvenio to enter into any agreement.

When you submit information through the Site, you confirm that:

the information is accurate, and it is your own or you are authorized to provide it;
you are authorized to share any information you provide about your business; and
you will not send confidential, sensitive, or regulated information, such as health or payment card information, through the Site's forms.

5. Eligibility

You must be at least 18 years old to submit information through the Site. If you use the Site on behalf of a business, you confirm that you are authorized to act for that business.

6. Intellectual property

The Site and its content, including text, graphics, designs, images, software, and the Marvenio name, logo, and other marks, are owned by Marvenio or its licensors. They are protected by intellectual property laws. Other company names and marks that appear on the Site belong to their owners. Their appearance on the Site does not mean those companies endorse Marvenio.

We give you a limited, non-exclusive, non-transferable, and revocable permission to view the Site and to print or save pages for your own use in learning about or evaluating Marvenio. You may not copy, modify, distribute, sell, or create works based on the Site's content without our written permission, except as the law allows.

7. Feedback

If you send us ideas or suggestions about Marvenio, you agree that we may use them without any obligation to you.

8. Acceptable use

You agree not to:

use the Site in a way that violates any law or anyone else's rights;
submit false or misleading information, submit someone else's information without permission, or impersonate any person or business;
send spam or bulk or automated submissions through the Site's forms;
try to gain unauthorized access to the Site or its systems, or test their security without our written permission;
upload or send malware or any code designed to harm or interfere with the Site;
overload or interfere with the Site, or get around any measure we use to protect it; or
use automated tools to access or copy the Site, except that search engines, answer engines, and similar indexing services may index public pages in line with our robots.txt file.

We may block access to the Site or take other appropriate action if we believe you have violated these Terms.

9. Text messaging terms

These terms apply if you opt in to text messages from Marvenio by checking "Send me product and services updates by text." on our form.

Program. Marvenio product and services updates are recurring automated marketing text messages about Marvenio products and services. They are sent to the mobile number you provide.
Consent is optional. Checking the box is not required to submit the form. Consent is not a condition of any purchase.
Frequency. Message frequency varies.
Cost. Message and data rates may apply. Contact your wireless carrier with questions about your plan.
Opting out. Reply STOP to any message to cancel. We will send one message confirming that you have unsubscribed, and then we will stop sending you marketing texts. To rejoin, opt in again the way you did the first time.
Help. Reply HELP for help, or email service@marvenio.com.
Carriers. Carriers are not liable for delayed or undelivered messages.
Changing your number. If you change or give up your mobile number, reply STOP from that number first or tell us at service@marvenio.com.
Privacy. We do not share your mobile number or text consent with third parties for their marketing. Our Privacy Policy explains how we handle your information.
Changes. We may change or end the text program at any time. We will post any updated terms on this page.

10. Third-party sites and services

The Site may link to or mention third-party websites, platforms, and integrations. We do not control them and are not responsible for their content, terms, or privacy practices. Your use of them is at your own risk and under their terms. A mention on the Site does not mean that the third party endorses Marvenio or that Marvenio endorses it.

11. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent the law allows, Marvenio disclaims all warranties about the Site, express or implied. These include warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Site will be uninterrupted, error-free, or free of harmful components, or that its content is complete, accurate, or current.

12. Limitation of liability

To the fullest extent the law allows, Marvenio, its affiliates, and their personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Site. This includes lost profits, revenue, data, or goodwill, even if we were told such damages were possible. Our total liability for all claims arising from or related to the Site is limited to one hundred U.S. dollars (US $100).

Some places do not allow certain disclaimers or limits, so some of these may not apply to you. This section applies to your use of the Site only. Liability for paid services is set by the separate agreement for those services.

13. Indemnity

You agree to defend, indemnify, and hold harmless Marvenio, its affiliates, and their personnel from claims, losses, damages, and expenses, including reasonable attorneys' fees. This applies to claims arising from your misuse of the Site, your violation of these Terms, or information you submit through the Site.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from or related to these Terms or the Site will be brought only in the state or federal courts located in the State of Delaware. You and Marvenio consent to the jurisdiction of those courts.

Before you file a claim about the Site or these Terms, please email us at service@marvenio.com and describe the problem. You agree to allow 30 days from that email for us to try to resolve it with you. If we have your contact details, we will do the same before we file a claim against you. This step does not stop either of us from asking a court for urgent relief.

15. Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time, and we will change the effective date at the top when we do. Changes apply from the date they are posted. If you keep using the Site after that, you accept the updated Terms.

16. General

These Terms and our Privacy Policy are the entire agreement between you and Marvenio about your use of the Site. They do not replace any separate written agreement for our services. If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce part of these Terms, that is not a waiver. You may not transfer your rights under these Terms. We may transfer ours, for example as part of a merger or sale of our business.
